MCA-I Atlanta BY-LAWS
ARTICLE
I - NAME
Section 1. NAME
Paragraph 1. The name of this organization shall be
the Atlanta Chapter - Media Communications Association International, a
nonprofit, professional development membership chapter of the Media Communications
Association International. In these Bylaws, this organization shall be referred
to as the Chapter or the Atlanta Chapter; the parent organization, the Media
Communications Association International, shall be referred to as
International, or MCAI.
Section 2. GOVERNANCE
Paragraph 1. These Atlanta
Chapter Bylaws shall be governed by the provisions of the Media Communications
Association International Bylaws and Charter.
ARTICLE
II- PURPOSES
Section 1. PURPOSES
Paragraph 1. The purposes of this Chapter shall be
the same as those of the Media Communications Association International.
Paragraph 2. In addition, the Atlanta Chapter
shall:
a. Provide
professional development activities for its members;
b. Provide
volunteer community services as defined in sections dealing with the Chapter
Projects Committee; and Provide curriculum guidance to Georgia's educational
institutions and career information to students regarding the video industry.

III- CHAPTER MEMBERSHIP
Section 1. MEMBERSHIP CATEGORIES
Paragraph 1. There shall be all required categories
of membership as defined by the International Bylaws.
Section 2. VISITING MEMBERS'
RIGHTS
Paragraph 1. Members visiting from other MCAI
chapters shall have all the rights and privileges as granted by the MCAI
Bylaws, including the right to attend any and all Chapter meetings and
functions.
Paragraph 2. Members visiting shall not be counted
in determining the meeting quorum and shall not participate in Chapter business
until their memberships have been assigned to the Atlanta Chapter of MCAI.
Section 3. ASSOCIATE MEMBERSHIP
Paragraph 1. The Atlanta Chapter
shall offer associate memberships as a courtesy to those individuals who do not
wish to hold the benefits of membership in the International Association.
Paragraph 2. Annual Associate Membership dues shall
be twice the dollar amount as the membership rebates granted to the chapter by
MCAI for individual membership. Dues for Associate Members joining after June
30th shall cost no less than the membership rebates granted to the Chapter by
MCAI for individual membership.
Paragraph 3. All applications for
Associate Membership shall be approved by the Chapter President and the
membership chairperson.
Paragraph 4. All Associate Memberships shall be
valid for the calendar year in which the application as accepted. Associate
memberships shall expire on December 31st of each year.
Paragraph 5. Associate Members are not eligible for
elected Chapter office, nor may they participate in nominations and elections
unless otherwise specifically given those rights by the MCAI Bylaws. Associate
Members may not vote in any Chapter election.
Paragraph 6. The total number of Associate Members
shall not exceed one-fourth the total International members of the Atlanta Chapter.
Section 4. ORGANIZATIONAL
MEMBERSHIP RESPONSIBILITY
Paragraph 1. It shall be the
responsibility of Organizational Members to communicate immediately in writing
to the Chapter Membership Chair any changes among their designated
representatives.
Section 5. GUEST/VISITOR RIGHTS
Paragraph 1. Guests/Visitors may
attend a maximum of three meetings, prior to initiating membership. The
Membership Chair and/or the President shall enforce the maximum guest
attendance standard and collect applicable meeting charges.
Paragraph 2. The Board of Directors shall establish
meeting charges for additional meetings.
ARTICLE
IV- OFFICERS, DIRECTORS AND OFFICIALS
Section 1. ELECTED OFFICERS AND
DIRECTORS
Paragraph 1. The Chapter's elected
officers shall be a President, a President-Elect, a Vice President, a
Secretary, and a Treasurer.
Paragraph 2. The Chapter's Board of Directors shall
consist of six elected Directors and the current Chapter President. The
immediate past President shall serve as an honorary voting member.
Section 2. APPOINTED OFFICIALS
Paragraph 1. The appointed officials
shall be selected by the President from the membership, in consultation with
the President-Elect.
Section 3. ELIGIBILITY
Paragraph 1. Eligibility for Office
shall be the same as set forth by International.
Section 4. TERMS OF OFFICE
Paragraph 1. The term of office for
all Chapter officers shall be one year, beginning with the January Chapter
meeting.
Paragraph 2. The term of office for Directors shall
be two years, beginning with the July Chapter meeting.
Paragraph 3. The President may not serve successive
terms. All other officers may serve successive terms without limitation.
Section 5. DUTIES OF THE PRESIDENT
Paragraph 1. The duties of the President shall
include:
a. Presiding
at Chapter meetings and Executive Committee meetings and amending as a voting
member at the Board of Directors meetings.
b.
Presenting to the membership periodic reports on the state of the Chapter;
c.
Representing the Chapter in dealings with International, the public, and others;
d. Making
appointments to committee chairmanships; and
e. Enforcing
these Bylaws and the International Bylaws.
Paragraph 2. The President, with the advice of
elected officers, shall have the power to make all administrative decisions and
set interim policy, except as stated herein, and in accordance with the
International Bylaws.
Paragraph 3. Financial decisions
of the President must be approved by the Treasurer unless the
President-Elect and Secretary both agree with the financial decisions of the
President.
Paragraph 4. The President shall distribute copies
of all International correspondence to all elected Chapter officers within 30
days of receipt. The President shall distribute current copies of these Bylaws,
Chapter Policy Statements, Chapter Operating Rules and Procedures,
International Bylaws, and International Policy Statements to all Executive
Committee members and Directors within 30 days of their election or
appointment.
Paragraph 5. The President may confer Presidential
administrative powers upon the President-Elect under special circumstances,
which include illness or his/her inability to perform the duties of the office.
In no event shall the President abdicate or share such responsibilities by
conferring voting powers to the Executive Committee except as stated herein.
Paragraph 6. The President shall be a member of the
Board of Directors for a period of one year following the expiration of his/her
term.
Paragraph 7. The President and the Chairperson of
the Board of Directors shall administer all video festivals and competitions.
The President and the Chairperson of the Board of Directors shall select, with
the concurrence of the Board of Directors, an outside MCAI chapter or chapters
to judge the above festivals and competitions. All festivals and competitions
shall be conducted with the concurrence of the Regional Vice President.

Section 6. DUTIES OF THE
PRESIDENT-ELECT
Paragraph 1. The duties of the
President-Elect shall include:
a. Presiding
at Chapter meetings and Executive Committee meetings in the absence of the
President;
b. Chairing
the committee on Chapter workshops and conferences.
c. Other duties
as determined by the President.
Paragraph 2. It is the duty of the President-Elect
to attend monthly Chapter meetings, Executive Committee meetings, Board of
Director meetings, and other Chapter committee meetings such as Program,
Membership, Chapter Projects, etc. with the purpose of preparing for the
Presidency.
Paragraph 3. The President-Elect shall serve as
advisor to the President and shall assume the powers of the President in the
event the President resigns or is removed from office.
Paragraph 4. The President-Elect shall accept any
Presidential administrative powers as conferred by the President.
Section 7.
DUTIES OF THE SECRETARY:
Paragraph 1. The duties of the Secretary shall
include:
a.
Responsibility for the recording and distribution of the minutes of Chapter and
Executive Committee meetings;
b.
Maintaining the Chapter files;
c.
Researching the chapter file for information for any Chapter member;
d.
Administering the annual Chapter elections;
e.
Communicating with trade journals and the press; and
f. Any other
duties as by the President.
Paragraph 2. The Secretary shall serve as advisor
to the President, shall assume the unexpired term of the President-Elect, and
shall assume the powers or the President in the event both the President and
the President-Elect resign or are removed from office.
DUTIES OF
THE TREASURER:
Paragraph 1. The duties of the Treasurer shall
include:
a. Assuming
responsibility for and maintenance of all financial records and bank accounts
of the Chapter;
b.
Publishing quarterly financial statements in the newsletter;
c. Reviewing
budgets and expenditures of the Chapter; and
d. Preparing
annual operating budgets in cooperation with the President and the
President-Elect.
Paragraph 2. The Treasurer shall serve as advisor
to the President and shall assume the unexpired term or the Secretary and that
of the President in the event the President, the President-Elect, and the
Secretary resign or are removed from office.
DUTIES OF
THE VICE-PRESIDENT:
Paragraph 1. The duties of the Vice-President shall
include:
a. Assuming
responsibility for and maintenance of chapter video festival.
b. Any other
duties as assigned by the President.
Paragraph 2. The Vice-President shall serve as
advisor to the President and shall assume the unexpired term of the Treasurer
in the event the President, the President-Elect, and the Treasurer resign or
are removed from office.
